Register Your Business in a Timely Manner
Video Transcribed: What is the third step in creating an Oklahoma business? I am Ope Adegbuyi, a medical marijuana lawyer in Oklahoma.
We’re continuing our discussion on how to create an Oklahoma business. Step three of this process is to actually register your business. So you’ll be registering your business with the Secretary of State.
As I had mentioned in my prior videos, if you’re an LLC, you would have to fill out the Articles of Organization. And that Article of Organization must include the name of the LLC, and the effective date of the LLC, which would typically be the filing date of the LLC. If you want to choose a different date, you can also put it there. The company’s principal office that should have an Oklahoma address, the business purpose, and the duration of the business, which is typically perpetual. And then the name and address of the registered agent, which is an Oklahoma individual or an Oklahoma corporation or business. And at least one member of that LLC.
So if you are choosing to be a corporation instead, then you would have to complete the Certificate of Incorporation, which must include the name of the corporation, the effective date of the corporation, which is typically the filing date, the company’s principal office address, which you have an Oklahoma address, the business purpose, the duration of the business, which would typically be perpetual, the name and address of the registered agent, which should have an Oklahoma individual or business address, and then the name and address of the incorporators. That’s the person that’s actually filing the Certificate of Incorporation. And then the name and address of the director.
So if the incorporator is going to be a director of the business, you can put that person’s name. If it’s going to be a different person, you have to put at least one director’s name. And then your stock information, so that would ask you the class of stock that you have if it’s common stock or preferred stock, and how many units of stock in each category.
